End User License Agreement
Protok Studio — revision 1.1
This End User License Agreement ("Agreement") is a legal agreement between you and Protok Technologies (the "Licensor") for the Protok Studio software product, including the desktop IDE, embedded runtime components, simulator, associated firmware tooling, updates, and documentation (collectively, the "Software").
By downloading, installing, copying, or otherwise using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
1. License Grant; Plans
The Software is offered under several plans ("Plans"): Community (free of charge); Professional, Team, Ultimate, and Enterprise (paid subscriptions); and hardware-bound licenses included with Protok panels. The scope of your license is determined by the Plan associated with your account or license key, as described on the Plans page.
Subject to your compliance with this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software, within the scope of your Plan, for the purpose of designing, developing, simulating, and deploying human-machine interface (HMI) projects and related low-code logic.
Community Plan — non-commercial use only. Under the Community Plan, the Software and any output it generates may be used solely for evaluation, personal, educational, research, or other non-commercial purposes. Use in or for a commercial product, service, or business activity — including deploying generated output in a product offered for sale, in internal production systems, or in paid client work — requires a paid Plan.
The Software is licensed, not sold. All rights not expressly granted are reserved by the Licensor.
2. Restrictions
You may not, except to the extent such restriction is prohibited by applicable law:
- Copy, modify, adapt, translate, or create derivative works of the Software
- Reverse engineer, decompile, or disassemble the Software or any part of it
- Rent, lease, lend, sell, redistribute, sublicense, or transfer the Software to any third party
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software
- Use the Software to develop a competing product or to provide the Software’s functionality as a hosted service to third parties
- Bypass or disable any licensing, activation, telemetry-consent, or security mechanism of the Software
3. Your Projects and Generated Output
You retain all rights to the projects, screen definitions, low-code graphs, scripts, and other content you create with the Software ("Your Content").
Code and assets generated by the Software from Your Content (including C99/LVGL source code, compiled assets, and project files) belong to you and, subject to the Plan restrictions in Section 1, may be used, modified, and distributed by you — including commercially under a paid Plan. No part of this Agreement grants the Licensor any rights to Your Content or to generated output derived from it.
This does not apply to the Software itself, its libraries, or runtime components that ship inside generated or deployed artifacts — those remain licensed under this Agreement and the third-party notices referenced in Section 5.
4. Safety-Critical Use Disclaimer
The Software is a development and simulation tool. It is not designed, certified, or intended for direct use in safety-critical systems, including but not limited to systems where failure could result in death, personal injury, or severe property or environmental damage (vehicle control, medical devices, industrial safety systems, and similar).
You are solely responsible for:
- Verifying, testing, and validating any output of the Software before deploying it to physical hardware
- Complying with applicable functional-safety standards and certification requirements for your target domain
- Any firmware, configuration, CAN/J1939 traffic, or HMI logic deployed to real devices, including vehicle systems
The Licensor accepts no liability for damage caused by Software-generated or Software-mediated deployments to physical equipment.
5. Third-Party Components
The Software contains third-party open-source components listed in THIRD-PARTY-NOTICES.txt, distributed with the installer. Those components are licensed to you under their own license terms (MIT, Apache-2.0, ISC, BSD and similar), which prevail over this Agreement to the extent of any conflict. Nothing in this Agreement restricts your rights under those licenses.
6. Telemetry and Data Collection
The Software collects anonymous usage statistics only if you explicitly opt in (first-run dialog or Studio Settings). No telemetry is collected, queued, or transmitted while the setting is disabled.
When enabled, telemetry may include: feature usage events, crash-free error counts, OS/platform and Software version, and anonymized project metadata (widget-type statistics). Telemetry never includes project source code, file contents, credentials, CAN data payloads, or personally identifiable information.
You may disable telemetry at any time in Settings; the change takes effect immediately and clears any queued data. See the Privacy Policy for the full data inventory.
7. Updates
The Software may check for and offer updates. Updates are governed by this Agreement unless accompanied by a separate license. The Licensor may modify or discontinue any feature in future versions.
8. Beta / Pre-release Status
The Software is currently provided in a pre-1.0 state. Features, file formats, and APIs may change between versions without a migration guarantee. Pre-release builds are provided for evaluation and early adoption.
9. Warranty Disclaimer
The Software is provided "as is" and "as available", with all faults and without warranty of any kind. To the maximum extent permitted by applicable law, the Licensor disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
The Licensor does not warrant that the Software will be uninterrupted, error-free, or compatible with every hardware target, firmware version, or vehicle network configuration.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or related to this Agreement or the use of the Software, even if advised of the possibility of such damages.
The Licensor’s total aggregate liability under this Agreement shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim, or one hundred US dollars (USD 100) if no amount was paid.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, the Licensor’s liability is limited to the fullest extent permitted.
11. Termination
This Agreement is effective until terminated. It terminates automatically without notice if you breach any of its terms. Upon termination you must cease all use of the Software and destroy all copies. Sections 3–5, 9, 10, and 12–14 survive termination.
12. Export Control
You agree to comply with all applicable export and re-export control laws and regulations, including those of the Republic of Uzbekistan and any other relevant jurisdictions.
13. Governing Law and Disputes
This Agreement is governed by the laws of the Republic of Uzbekistan, without regard to conflict-of-law rules. Any dispute arising out of or in connection with this Agreement shall be resolved by the competent courts of the Republic of Uzbekistan, unless mandatory local law provides otherwise.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
14. General
- If any provision of this Agreement is held invalid or unenforceable, the remainder remains in full force.
- This Agreement constitutes the entire agreement between you and the Licensor regarding the Software and supersedes all prior understandings.
- The Licensor may update this Agreement with new versions of the Software; continued use after an update constitutes acceptance of the revised terms.
